Terms & Conditions

The following Terms and Conditions of Service apply to all products and services provided by Boxxo Ltd (Boxxo). Please ensure you have read and fully understand our T&Cs and don’t hesitate to contact us if anything is not clear to you.



In these terms and conditions, “the Company” shall mean Boxxo Ltd, and the Customer shall mean the party with whom the Company enters into a Contract, even if fees are agreed to be invoiced to a nominated third party.


Contract Terms

These Conditions shall apply to all goods and services supplied by Boxxo. Any provision, stipulation, or condition in the conditions of the order of the person, firm, or company to whom such goods and services are supplied (the Customer) or otherwise which conflicts with or in any way qualifies or negates any of these Conditions shall have no effect, and these Conditions shall prevail. These Conditions complement any Project Proposal drawn up for the Customer.


General Assumptions

  1. Timelines and Costs: Boxxo timelines and costs are based on client meeting participation and approval availability. Delays in participation may result in project delays. Boxxo will not bear accountability for project delays due to client failure to meet approval, content supply, or meeting deadlines.
  2. Invoicing for Delayed Deliverables: If deliverables are delayed due to the client, Boxxo reserves the right to invoice in part or in full for completed work contingent on the delayed deliverables. Interim invoices may be issued outside the agreed payment schedule.
  3. Project Lead: The Customer will provide one project lead per phase to ensure a streamlined process and consolidated feedback. Feedback must be in written form.
  4. Third-party Engagements: Boxxo may engage specialist third-party partners and suppliers, such as print suppliers, sign manufacturers, photographers, illustrators, filmmakers, external website developers, event venues, breweries, and other relevant partners to ensure timely and quality delivery of commissioned works.
  5. Change Orders: Should further deliverables or services be required in addition to the proposal submitted to the customer, additional costs will be communicated as extras to the customer.
  6. Project Management: Project management covers the management of design and development, but not the creation of content.
  7. Design Concepts: If multiple design concepts are submitted, only one concept is deemed to fulfill the contract. All other artwork designs remain the property of Boxxo unless agreed otherwise in writing.

Charges, Estimates, and VAT

  1. Charges: Boxxo shall charge costs, charges, and expenses as agreed in writing with the Customer for the supply of any goods and services.
  2. Validity of Estimates/Quotes: Estimates/quotes are valid for 14 days from the date supplied. Work will commence only after acceptance of the estimate/quote and receipt of the deposit (where applicable).
  3. Amendments to Estimates: Estimates are based on Boxxo’s current production costs and may be amended post-acceptance to cover cost changes.
  4. VAT: All amounts are exclusive of Value Added Tax (VAT), which the Customer agrees to pay in addition.
  5. Pass-through Costs: Pass-through costs, such as travel and accommodation expenses, courier costs, and image usage rights, are invoiced separately from estimates.
  6. Image Provision: Unless otherwise stated, images will be provided by the client. Purchased royalty-free stock images will be priced per image. Specific image requirements not met by standard sources will be charged at cost + 15% + VAT, with prior client notification. Photography and videography services are available at additional cost.
  7. Estimate Information: Costs are based on information available at the time of the estimate. Additional information may result in additional costs.
  8. Exclusions: Estimates do not include costs associated with translation, internationalisation, or ensuring final output suitability for other platforms.
  9. Currency: Costs are stated in British Pounds Sterling (£), and all invoices must be paid in this currency unless agreed otherwise.
  10. Scope Confirmation: Pricing is an estimate based on the potential scope and may need re-confirmation once all tasks are clearly scoped out.

Preliminary Work

All experimental work shall be charged to the Customer if used commercially, unless agreed otherwise.


Terms of Payment

  1. Disbursements: Boxxo reserves the right to invoice for disbursements, due and payable immediately.
  2. Payments on Account: Payments on account may be required for specific works and expenses.
  3. Part Costs: Boxxo may invoice for part costs upon initial approval to proceed.
  4. Suspension of Work: Work may be suspended until payments are made.
  5. Invoice Payment: All invoices are payable in full within 30 days of the invoice date, unless otherwise agreed.
  6. Payment Method: Payments are to be made by online transfer or BACs unless otherwise agreed.
  7. Invoice Queries: Invoice queries should be notified within seven days of the invoice date or will be deemed accepted.
  8. Late Payments: In the event of late payments, Boxxo may cease work and take down any website with 48 hours’ notice. Legal expenses and collection fees will be borne by the Customer.
  9. Agent Charges: Goods or services supplied to an agent for the Customer shall be chargeable to that agent and their principal.
  10. Third-party Debt: Late or non-payment of debts by a third party introduced by the Customer will revert to the introductory agent or contact.

Authority & Proofs

  1. Approval: Written or verbal approval of designs, drafts, proofs, or estimates may authorise Boxxo to proceed and enter into supplier contracts.
  2. Proof Errors: Boxxo shall not be liable for errors not corrected by the Customer in proofs. Additional proofs necessitated by the Customer’s alterations will incur additional charges.

In Scope

  1. Design Reviews: Proposals cover two initial design concepts and up to two review stages unless stated otherwise. Additional review stages incur extra costs.
  2. Estimate Scope: Estimates are based on potential scope and do not include other requirements, which will be quoted separately.
  3. VAT: Costs exclude VAT unless specified. VAT is outlined separately on estimates.
  4. Additional Items: Additional items identified during project execution will be scoped and costed separately.

Change in Scope Procedure

  1. Change Requests: Services or deliverables beyond the initial estimate will require approval of a separate quotation.
  2. Negotiation: Changes in scope will be negotiated in good faith, detailed in writing, and approved by both parties.

Property and Risk in Goods

  1. Ownership: Boxxo retains ownership of all materials and goods until full payment is received.
  2. Risk: Risk in goods passes to the Customer upon delivery.
  3. Customer’s Materials: Materials provided by the Customer are at the Customer’s risk while in Boxxo’s possession or in transit.


  1. Secrecy: Both parties undertake to keep confidential any information that comes to their notice in relation to the other party, except for public domain information.
  2. Customer’s Confidential Information: Includes business and financial information.
  3. Boxxo’s Confidential Information: Includes details of fees, costs, unused work, and concepts. Boxxo’s resultant design work may be used in its portfolio unless agreed otherwise.


  1. Non-Solicitation Clause: For one year after closing transactions, the Customer will not solicit Boxxo’s employees, contractors, or consultants without written approval.
  2. Injunctive Relief: Boxxo is entitled to injunctive relief for breaches of this agreement.

Copyright & Licensing

  1. Intellectual Property: Boxxo retains copyright and intellectual property rights unless agreed otherwise. Third-party intellectual property rights remain with the third parties unless assigned to Boxxo.
  2. Assignment: Boxxo is not required to assign intellectual property rights without a separate agreement.
  3. Copyright Infringement: Boxxo will not knowingly infringe copyrights or trademarks and will deliver original creative solutions. The client is responsible for ensuring no copyright or trademark infringements.
  4. Licensing: Design work is licensed for one-time use and may not be modified, reused, or redistributed without Boxxo’s written consent.

File Storage

  1. Archiving: Project files will be archived for up to five years.
  2. Client Copies: Clients are encouraged to keep copies of all deliverables.
  3. Recovery Charges: Archived file supply will incur charges based on data size.
  4. Usage Restrictions: Recovered files are for original purposes only and may not be modified, reused, or redistributed.


  1. Customer Insurance: The Customer is responsible for insuring against any loss, damage, or expense related to the Company’s goods and services.


  1. Booking Details
    Only if accepted by Boxxo will the booking be confirmed. Boxxo is not under any obligation to continue holding provisional bookings beyond the given option date (usually 10 working days from the time of booking), if these have not been received. For the purposes of this Agreement, “working days” shall mean Monday to Friday inclusive.
  1. Price & Payment
    2.1 Price amendments will be communicated with the Client, and the Client will reasonably consider any errors or omissions or where an increase is caused by a change in the circumstances beyond the reasonable control of Boxxo.
    2.2 Any query arising from an invoice must be notified to Boxxo in writing by the Client within 10 working days of the date of the invoice receipt. Failure to comply will render the full invoice payable on the due date.
    2.3 It is strictly the responsibility of the representative of the Client confirming the booking to inform all relevant parties of the payment terms, as set out by Boxxo.
    2.4 Deposit – A deposit of 50% of the total fee payable (including VAT), as quoted and agreed in the written proposal (attached), of any event or programme shall be payable on confirmation of the order. The remaining 50% shall be known as the “balance”.
    2.5 Balance Due – the balance of the total fee shall be payable 14 working days prior to the event date.
    2.6 Additional Expenses – any additional expenses or fees resulting from any changes made by the Client, that have not been quoted in the agreed proposal but subsequently incurred by Boxxo, will be invoiced separately after the event. Payment will be due within 5 working days of presentation, any queries thereon raised within 3 working days of presentation and payment shall be made in accordance with Clause 2.9. Boxxo will agree on any additional expenses or fees with the client prior to these being incurred.
    2.7 Late Bookings – Should a booking be made within 20 working days of the event date, payment in full will be required to secure the event.
    2.8 Methods of Payment: – Bank transfer: Details upon request. The Client must inform Boxxo in writing (preferably by email) of any bank transfers.
  2. Cancellation
    3.1 This clause applies to the following: where the client (a) cancels the entire event, (b) cancels partial use of the facilities for the event, or (c) reduces the duration of the event as a result of which the contracted value is reduced.
    3.2 Should an event be canceled, the following cancellation charges will apply and extend to the total charge which includes any required accommodation, function room hire, equipment, pre-booked food and beverage charges. In addition, the client will settle any third-party charges incurred by Boxxo on behalf of the client.


    Cancellation Clause

  • More than 120 working days prior to the event: Nil
  • 120 to 61 working days prior to the event: 50%
  • 60 to 31 working days prior to the event: 80%
  • 31 working days or less prior to the event: 100%


    3.3 All cancellations must be received in writing from the client and will be deemed to take effect from the date of receipt.
    3.4 Boxxo reserves the right to cancel the client’s booking if there has been a change of more than 40% of the client’s original contract. Written notification will be sent to the client.
    3.5 Any postponements of confirmed and contracted business or any Public Health Emergency declared by Public Health England, the Chief Medical Officer for England, or any law or any action taken by the UK government or UK public authority that directly affects the operation of the event will be considered as a cancellation in accordance with the above cancellation clauses. However, provided the revised event date is agreed (subject to availability) and takes place within 12 months of the original event date, payments received by Boxxo from the client shall form a credit towards the future event. Should any postponement costs be incurred by Boxxo, the client will be notified and these costs will be deducted from the amount held as credit.

  1. Liability On some events, the activities that the Clients will undertake may be inherently dangerous although all guests are fully supervised throughout. As such, neither Boxxo nor its employees or agents shall be liable for any damage, loss, delay, or expenses caused to the client, its employees, agents, licensees, invitees, or any other persons attending the event except insofar as it results from the negligence of Boxxo or breach of contract. Please note that during particular events and on certain activities it may be necessary to request individuals to sign a liability waiver on the day of the event (although the same does not purport to exclude liability for damage to the personal property of the Clients’ employees or staff, or property damage caused to the Clients’ property, or personal injury arising as a result of the negligence of Boxxo), in which instances Boxxo agrees to indemnify and hold the Client harmless against all such claims. Boxxo shall provide Public Liability insurance cover of £5 million for each and every claim.

Termination of Agreement

  1. Termination: Either party may terminate the agreement at any time. Boxxo will invoice for work completed and expenses incurred up to termination.
  2. Reimbursement: Advance payments exceeding the invoiced amount will be reimbursed within 20 days of termination notice.


Non-enforcement of any breach of these Conditions by Boxxo shall not prevent subsequent enforcement.


Force Majeure

Boxxo shall not be liable for delays or failures to perform due to causes beyond its reasonable control, including war, natural disasters, government actions, power failures, equipment failures, strikes, and subcontractor or supplier defaults.
